ChainBay Terms of Use

1. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use ChainBay. By using the marketplace, connecting a wallet, creating a listing, placing an order, or selling an item, you represent that you meet these requirements.

2. ChainBay marketplace role

ChainBay provides marketplace software that helps buyers and sellers discover listings, communicate, create orders, verify Solana payments, track fulfillment, review delivery, submit evidence, and resolve disputes. Unless ChainBay is specifically identified as the seller of an item, buyers and sellers are responsible for their own transactions, listings, goods, representations, taxes, and legal obligations.

3. Wallets, signatures, and account security

ChainBay uses wallet-based authentication and Solana transactions. You are responsible for controlling your wallet, private keys, recovery phrases, devices, and wallet approvals. ChainBay will never need your private key or recovery phrase. Wallet signatures used for login do not themselves transfer funds, but blockchain transactions you approve may be irreversible.

4. Listings and seller responsibilities

Sellers must provide accurate titles, descriptions, photos, prices, quantities, shipping information, product condition, and digital-delivery details. Sellers may only offer items they own or have the legal right to sell and must be able to safely and lawfully deliver them. Sellers are responsible for complying with applicable laws, carrier restrictions, intellectual-property rights, and marketplace rules.

5. Buyers and purchasing responsibilities

Buyers are responsible for reviewing listing information before checkout, confirming the correct wallet transaction, providing accurate delivery information, and inspecting delivered goods or digital access before confirming delivery. A buyer who believes an order is missing, damaged, incorrect, counterfeit, or materially not as described should use the dispute process before confirming delivery or access.

6. Prices, fees, and blockchain costs

Listings may be priced in supported digital assets, currently SOL. ChainBay may charge marketplace fees that are calculated during the order flow. Blockchain network fees, wallet fees, exchange-rate changes, carrier charges, taxes, or other third-party charges may also apply. Any applicable marketplace charges presented during checkout or seller payout calculations form part of the transaction.

7. Orders and payment holding

ChainBay uses a protected order flow with Solana payment verification and controlled payment holding. After the buyer submits payment, ChainBay verifies the transaction before fulfillment proceeds. Payment is not normally released to the seller immediately and may remain held while fulfillment, delivery review, or a dispute is pending.

8. Shipping and physical goods

Sellers are responsible for packaging and shipping physical goods accurately and on time. ChainBay may provide carrier rates, shipping labels, tracking information, and delivery-status updates through third-party shipping providers. Carrier estimates are not guaranteed, and tracking may depend on carrier scans and systems outside ChainBay control.

9. Digital goods and delivery

Digital sellers are responsible for providing working, lawful, and accurately described digital delivery. Digital access details may be stored in the order flow and reviewed by the buyer or ChainBay during a dispute. Sellers must not use digital delivery to distribute unlawful, infringing, malicious, or prohibited material.

10. Delivery confirmation and payment release

Payment may be released to the seller after buyer confirmation, completion of the applicable review process, expiration of a permitted review period, or final dispute resolution. Once funds have been released or refunded on-chain, the underlying blockchain transaction may be irreversible.

11. Disputes, refunds, and evidence

ChainBay may allow buyers to open disputes for legitimate order problems. During review, ChainBay may consider order records, wallet and payment status, messages, listing information, carrier tracking, delivery records, photos, uploaded files, digital-delivery records, and other relevant evidence. ChainBay may resolve a dispute in favor of the buyer or seller, cancel a dispute, authorize a refund, authorize payment release, or request more information.

12. Cancellations

Unpaid orders or inventory reservations may expire or be cancelled under the order flow. Paid orders generally cannot be cancelled solely because a user changes their mind after an irreversible blockchain payment. Any refund or cancellation after payment is subject to the order state, dispute process, available funds, technical feasibility, and applicable law.

13. Prohibited conduct and items

Users may not list, buy, sell, transmit, or promote illegal, stolen, unsafe, counterfeit, infringing, deceptive, hateful, exploitative, or otherwise prohibited goods or services. Users may not use ChainBay for fraud, phishing, malware, unauthorized account access, market manipulation, evasion of law, or interference with platform security.

14. Moderation, suspension, and removal

ChainBay may investigate activity and may remove or restrict listings, suspend accounts, limit marketplace access, cancel eligible orders, preserve evidence, or take other safety actions when necessary to enforce these terms, marketplace policies, legal requirements, or trust-and-safety standards.

15. Taxes and regulatory responsibility

Users are responsible for determining and satisfying taxes, duties, reporting obligations, licensing requirements, and other legal obligations that apply to their buying or selling activity. ChainBay does not provide tax, legal, investment, or financial advice.

16. Intellectual property

Users must own or have permission to use the images, descriptions, trademarks, copyrighted works, software, digital files, and other content they submit. By submitting marketplace content, users authorize ChainBay to host, display, reproduce, and process that content as reasonably necessary to operate, secure, moderate, and promote the marketplace and the related listing or order.

17. Third-party services

ChainBay relies on third-party technology and infrastructure that may include wallet software, blockchain networks, RPC providers, database and hosting providers, and shipping or carrier services. ChainBay does not control all third-party systems and is not responsible for outages, delays, wallet failures, blockchain congestion, carrier failures, or other events outside its reasonable control.

18. No guarantee

ChainBay provides marketplace tools, payment verification, order tracking, and dispute support, but does not guarantee every listing, buyer, seller, delivery, transaction, payout, refund, dispute result, service availability, or third-party system. Users participate in marketplace and digital-asset transactions at their own risk.

19. Limitation of liability

To the maximum extent permitted by law, ChainBay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost digital assets, lost business, or losses caused by user conduct, wallet compromise, blockchain activity, third-party services, or transactions between marketplace users.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold ChainBay and its operators harmless from claims, losses, liabilities, damages, and reasonable costs arising from your listings, purchases, sales, content, violation of these terms, violation of law, infringement of third-party rights, or misuse of the marketplace.

21. Changes and termination

ChainBay may update these terms, marketplace rules, supported features, fees, or order procedures as the service evolves. Continued use after updated terms become effective constitutes acceptance where permitted by law. Users may stop using ChainBay at any time, and ChainBay may restrict or terminate access when reasonably necessary for security, legal compliance, or enforcement.

22. Governing law

Unless applicable law requires otherwise, these terms and disputes concerning ChainBay are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
